Job Overview:
A law firm based in Santa Monica, CA, is seeking a driven mid-level associate to join its growing Life Sciences Corporate Transactions practice. This role offers the opportunity to advise high-growth and innovative organizations across the biotechnology, healthcare, and tech-enabled sectors. The associate will support a broad spectrum of domestic and international clients, particularly in venture-backed and public company settings, across various transactional and governance-related matters.

Duties:

• Assist with private and public equity financings, including IPOs

• Support mergers and acquisitions, joint ventures, and strategic partnerships

• Advise on public company compliance and SEC disclosure obligations

• Participate in corporate governance, board advising, and entity structuring

• Draft and review complex transaction documents and regulatory filings

• Collaborate closely with clients, firm partners, and cross-functional legal teams

• Contribute to due diligence and transaction closing processes

• Manage substantial aspects of transactions independently and as part of a team

Requirements:

• 3-4 years of relevant experience in corporate transactions and securities law

• Familiarity with M&A and registered equity offerings

• Exposure to or strong interest in life sciences sector work

• Ability to handle complex matters with minimal supervision

• Exceptional drafting, analytical, and communication skills

Education:

• Juris Doctor (JD) from an accredited law school

• Strong academic background preferred

Certifications:

• Active Bar admission in California or eligibility to obtain it promptly

Skills:

• Proven ability to manage multiple deals and client relationships concurrently

• Adept at navigating evolving corporate regulatory frameworks

• Team-oriented with strong interpersonal skills

• Strategic thinking and problem-solving in dynamic deal environments
