Duties and Responsibilities:

• Reviewing, drafting, and negotiating various corporate agreements and contracts.
• Handling sophisticated corporate transactions, including mergers, acquisitions, and financings.
• Providing legal counsel and representation for general business matters.
• Advising clients on securities law compliance and issues (experience in securities law is a plus).
• Managing client relationships and ensuring high-quality service delivery.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in New Jersey and Pennsylvania (NJ and PA Bar license desired).
• Minimum of 6 years of experience in corporate transactional law.
• Proven experience in contract drafting and negotiation, mergers and acquisitions, financings, and private placements.
• Strong understanding of securities laws and regulations (preferred).
• Excellent interpersonal skills with the ability to build and maintain client relationships.
• Outstanding written and verbal communication skills.
• Ability to work effectively in a team-oriented environment and manage multiple priorities and deadlines.

Education and Certifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the New Jersey and Pennsylvania Bar (NJ and PA licenses desired).
