Job Overview:
A prominent law firm in Los Angeles, CA, is actively seeking a mid-level associate with a solid foundation in corporate and transactional matters, particularly in the life sciences and technology sectors. The role involves representing venture-backed and public companies through a range of complex business milestones, including financing events, mergers and acquisitions, securities compliance, and governance structures.

Duties:

• Support private and public company clients on strategic corporate transactions

• Handle equity financing rounds, IPO preparation and execution, and M&A activity

• Guide corporate governance and ongoing reporting obligations

• Participate in drafting and reviewing transaction-related documentation

• Work collaboratively with partners and clients, often in fast-paced, cross-border settings

• Take ownership of substantial components of transactions and advise stakeholders directly

Requirements:

• 3-4 years of relevant experience in corporate law and transactional practice

• Exposure to public company representation, including SEC filings and regulatory compliance

• Familiarity with M&A deal structures and capital market transactions

• Prior involvement with companies in the life sciences sector is strongly preferred

• Demonstrated ability to manage projects independently and contribute to team-based work

• Exceptional research, drafting, and client communication skills

Education:

• Juris Doctor (JD) from an accredited law school

• Strong academic record required

Certifications:

• Admission to the State Bar, with eligibility to practice or seek prompt admission in California

Skills:
